BKK Bureau, New Delhi | 17 October 2026 | 1:26 PM IST
The Reserve Bank of India has approved the amalgamation of the Indian branches of Emirates NBD Bank P.J.S.C. with RBL Bank Limited. The central bank said the scheme has been sanctioned under sub-section (4) of Section 44A of the Banking Regulation Act, 1949.
Under the approved arrangement, Emirates NBD Bank P.J.S.C. is the transferor bank and RBL Bank Limited is the transferee bank. The RBI’s approval covers the Indian branches of Emirates NBD Bank P.J.S.C. and sets December 1, 2026, as the effective date of the amalgamation.
Branches to operate under RBL Bank
The RBI said all Indian branches of Emirates NBD Bank P.J.S.C. will function as branches of RBL Bank Limited from December 1, 2026. The release therefore establishes both the institutional transfer and the date on which the branches will begin operating under the RBL Bank name and structure.
The approval was issued by the Reserve Bank of India through its statutory authority under the Banking Regulation Act. The central bank’s release identifies the transaction as a scheme of amalgamation rather than a general statement about a proposed banking arrangement. Its sanction provides the regulatory approval required for the specified transfer of the Indian branches.
Effective date fixed for December 1, 2026
The effective date is a central feature of the RBI decision. Until November 30, 2026, the release identifies the Indian branches as branches of Emirates NBD Bank P.J.S.C. From December 1, 2026, the RBI has stated that all those branches will function as branches of RBL Bank Limited.
The announcement concerns the Indian branch operations of Emirates NBD Bank P.J.S.C. and does not describe a broader amalgamation of the two banking entities outside the specified Indian branches. RBL Bank Limited is identified in the RBI release as the transferee bank that will operate the branches after the effective date.
The decision was issued in an RBI press release dated October 16, 2026, and signed by Brij Raj, Chief General Manager. The release records the approval, the statutory basis, the parties to the scheme and the operational date for the branch transition.
What the RBI order establishes
In practical regulatory terms, the order establishes that the Indian branches covered by the scheme will move from Emirates NBD Bank P.J.S.C. to RBL Bank Limited on December 1, 2026. It also provides a definitive timeline for the change in the institution under which those branches will function.
The RBI’s sanction is the formal central-bank decision supporting the amalgamation described in the release. The specified date gives the affected Indian branches a common commencement point for functioning as RBL Bank branches.
Why it matters
The RBI approval sets a definite regulatory and operational timeline for the transfer of Emirates NBD Bank P.J.S.C.’s Indian branches to RBL Bank. From December 1, 2026, the branches will function under RBL Bank, making the decision relevant to the institutions and branch operations covered by the scheme.
