BKK Bureau, New Delhi | 17 October 2026 | 7:56 PM IST

By BKK News Desk

Pritika Engineering Components Limited has approved the allotment of 62 lakh equity shares through a preferential issue, comprising shares issued to its promoter against conversion of unsecured loans and shares allotted to non-promoter public investors for cash.

According to the company’s disclosure to the National Stock Exchange of India on October 17, 2026, the board approved the allotment of 50 lakh equity shares to Pritika Auto Industries Limited, identified as a promoter, at an issue price of ₹64 per share. The shares have a face value of ₹5 each, including a premium of ₹59 per share.

The promoter allotment represents an aggregate issue value of ₹32 crore. The shares were allotted against conversion of outstanding unsecured loans to the extent of ₹32 crore. The exchange filing identifies Pritika Auto Industries Limited as the sole allottee for this portion of the preferential issue.

Separately, the company allotted 12 lakh equity shares to the non-promoter public category at the same issue price of ₹64 per share, including a premium of ₹59 per share. This portion of the issue aggregates to ₹7.68 crore and was made against cash.

Combined, the two allotments represent 62 lakh equity shares and an aggregate value of ₹39.68 crore. The company’s disclosure states that the post-allotment paid-up capital details include both the 50 lakh shares issued against loan conversion and the 12 lakh shares issued to the public category against cash.

The board’s action followed members’ approval obtained at the company’s annual general meeting held on September 17, 2026, through special resolutions. The company also referred to in-principle approval received from the NSE through a letter dated October 5, 2026.

The allotments were made on a preferential basis under Chapter V of the Securities and Exchange Board of India’s Issue of Capital and Disclosure Requirements Regulations, 2018, along with subsequent amendments. The company made the disclosure under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements Regulations, 2015.

The filing also states that additional details required under the listing regulations and the applicable SEBI master circular were enclosed with the disclosure. The information provided in the exchange filing covers the issue price, face value, premium, allottee categories and the form of consideration for both parts of the allotment.

Why it matters

The transaction combines a ₹32-crore conversion of unsecured loans into equity with a ₹7.68-crore cash allotment.

It changes the company’s issued equity securities through a preferential issue approved by shareholders and cleared in principle by the NSE.

The filing provides investors and other stakeholders with the allotment structure, pricing and consideration details of the capital-raising exercise.

Why it matters

The allotment converts ₹32 crore of unsecured loans into equity and raises ₹7.68 crore in cash from the public category, providing a clear update on Pritika Engineering Components’ approved capital-raising activity.

The resolutions relate to a proposed issue of senior, secured, rated, listed, redeemable, taxable and transferable non-convertible debentures.

BKK Bureau, New Delhi | 17 October 2026 | 5:56 PM IST

By BKK News Desk

Fischer Medical Ventures Limited has notified the National Stock Exchange of India about a postal ballot seeking shareholder approval for a proposed issue of senior, secured, rated, listed, redeemable, taxable and transferable non-convertible debentures. The company disclosed the notice to the exchange on October 17, 2026.

The proposed financing would be backed by multiple security arrangements. One resolution seeks approval to create a first-ranking pari passu floating charge over the present and future assets of the company’s Indian material subsidiaries. A pari passu charge generally places the secured creditors on an equal-ranking basis over the charged assets, but the filing itself does not disclose the final size or terms of the debenture issue.

Shareholders are also being asked to approve the creation of a pledge over 100% of the equity shares held by Fischer Medical Ventures in its key Indian material subsidiaries. The notice identifies this pledge as security connected with the proposed debenture issue.

The postal ballot includes related-party approvals for guarantees from two Singapore-linked entities. FMV Holdings Pte. Ltd., identified as the company’s promoter and holding company, is listed as providing a corporate guarantee of ₹350 crore. Mercatus Capital Pte. Ltd., identified as a promoter-group company, is also listed for a corporate guarantee of ₹350 crore.

A separate related-party resolution covers the proposed pledge of equity shares held by the promoters, the holding company and/or a promoter-group company as security for the debentures. The filing records a disclosed pledge amount of ₹1,000 crore in connection with the promoter-held shares.

The company is seeking a mix of ordinary and special resolutions. The approvals relating to the creation of security over subsidiary assets, the promoter-related share pledge, the two corporate guarantees, the board’s power to create charges and the increase in borrowing limits are classified in the notice according to the relevant resolution requirements.

One special resolution would authorise the board to create charges on the company’s assets to secure borrowings under Section 180(1)(a) of the Companies Act, 2013. Another would increase the borrowing limit under Section 180(1)(c) of the Act. The notice also lists a postal ballot date of November 15, 2026.

The exchange filing does not state that the debentures have already been issued. The proposed transaction remains subject to the shareholder approvals covered by the postal ballot and to the other terms and conditions applicable to the financing.

Why it matters

The filing outlines how Fischer Medical Ventures plans to support a proposed debt raise through charges over subsidiary assets, a pledge of subsidiary shares, promoter-linked security and corporate guarantees. Shareholder approval would also expand the company’s formal borrowing and asset-charging authority under the Companies Act.

Persistent Systems Limited’s Special Committee has approved terms for issuing non-convertible debentures worth up to ₹8,000 crore and commercial paper of up to ₹1,000 crore. The approval followed an Extraordinary General Meeting and prior board authorisations.

BKK Bureau, New Delhi | 17 October 2026 | 11:26 AM IST

By BKK News Desk

Persistent Systems Limited has approved a fundraising plan involving securities worth up to ₹9,000 crore, according to a filing with the National Stock Exchange of India. The plan comprises non-convertible debentures, or NCDs, of up to ₹8,000 crore and commercial paper of up to ₹1,000 crore.

The terms of the proposed issuances were approved by the Special Committee of the company’s Board of Directors. The committee acted under authority delegated by the board through a resolution dated October 15, 2026, which also approved the reconstitution of the Special Committee and its terms of reference.

The company’s filing states that the fundraising process follows a recommendation made by the Board of Directors on September 2, 2026. It also follows approval sought from and received from the company’s members at an Extraordinary General Meeting held on October 5, 2026.

Two debt instruments

The larger component of the programme is the proposed issuance of NCDs with an aggregate value of up to ₹8,000 crore. The filing classifies these as non-convertible debentures and identifies the National Stock Exchange of India Limited in the relevant issuance details.

The second component is a commercial paper programme of up to ₹1,000 crore. The exchange filing records the commercial paper amount and related issuance information, including figures of 20,000 units and a face value of ₹1,000 crore in the reported disclosure.

The filing does not present the programme as a completed allotment or disbursement. Instead, it records the approval of the issuance terms by the authorised committee. Details such as the applicable terms, conditions and other issue-specific information are to be set out in the key information document or offer document, as applicable.

Approval sequence

The sequence disclosed by Persistent Systems shows three stages of authorisation: the board’s recommendation in September, member approval at the October 5 Extraordinary General Meeting, and the Special Committee’s approval after its reconstitution and delegated authority were recorded on October 15.

The company informed the exchange about the approval on October 16, 2026, with the NSE filing published on October 17. The disclosure was submitted under the exchange’s reporting category for alteration of capital and fundraising.

The proposed instruments are separate from equity issuance because both NCDs and commercial paper are non-equity securities. The filing, however, only establishes the approved ceiling for the two programmes and does not state that the entire approved amount has been raised.

Persistent Systems has therefore received internal and shareholder-level approvals to proceed with debt-market fundraising up to the disclosed limits, subject to the terms and documentation identified in the company’s filing. Any issue-specific details are to be provided through the applicable key information or offer documents.

Why it matters

The approval gives Persistent Systems a sanctioned framework to raise up to ₹9,000 crore through two debt-market instruments. It also marks a formal progression from board recommendation and shareholder approval to committee-level approval of the issuance terms, while the filing makes clear that the disclosed amounts are authorised limits rather than evidence of a completed fundraise.

Fleur Hotels Limited, a subsidiary of Lemon Tree Hotels Limited, has received partial relief in a goods and services tax dispute after the Office of the Commissioner, Central Goods and Service Tax (Appeals), Dehradun, passed an order in its favour on October 8, 2026. Lemon Tree Hotels disclosed the development to the National Stock Exchange on October 17, citing the appellate order received by the subsidiary on October 16.

The appeal concerned an earlier order issued by the Office of the Assistant Commissioner of Central Tax, Dehradun. According to the exchange filing, that order imposed a demand, penalty and interest on Fleur Hotels under the applicable provisions of the Central Goods and Services Tax Act, 2017. The dispute relates to the period from July 2017 to April 2022.

The First Appellate Authority partially allowed Fleur Hotels’ appeal. A key finding recorded in the company’s disclosure was that liability for interest on the irregular input tax credit would not arise. The filing does not provide the monetary value of the original demand, penalty or interest component, nor does it state whether other aspects of the tax order were fully set aside.

Lemon Tree Hotels said the order was classified as a settlement of proceedings and issued by the regulatory authority identified as the Office of the Commissioner, Central Goods and Service Tax (Appeals), Dehradun. The company also stated that the order has no material impact on its financials or operations because the proceedings relate to its subsidiary.

The company said Fleur Hotels would take appropriate legal action in due course based on an assessment of the facts and prevailing law. The disclosure does not specify the further legal remedy that may be pursued. It also records that the appellate authority’s decision was issued under the company’s disclosure relating to actions taken or orders passed.

What the order means

The appellate decision narrows the tax exposure described in the original proceedings by holding that interest on the irregular input tax credit would not be payable. However, because the appeal was only partially allowed and the filing does not detail the treatment of every component of the original order, the disclosure establishes relief on the interest issue without quantifying the remaining liability, if any.

Why it matters

The order affects a GST dispute involving a Lemon Tree Hotels subsidiary and removes the interest liability identified in the appellate finding. The company has also stated that the matter has no material impact on its consolidated financials or operations.
