Arisinfra Solutions Limited has notified the National Stock Exchange of India that it will seek shareholder approval through a postal ballot for material related-party transactions involving two subsidiaries, JS Infra Core Private Limited and Buildmex-Infra Private Limited.
The company’s notice, dated October 23, 2026, proposes an ordinary resolution covering transactions with JS Infra Core. The resolution relates to the sale or purchase of goods or materials and the rendering or availing of services, with the value at any point not exceeding ₹50 crore.
The proposed approval for JS Infra Core also covers borrowings or lending, including the provision or receipt of corporate guarantees. The outstanding amount at any point would be capped at ₹500 crore. The notice states that the transactions would be undertaken on terms mutually agreed by the parties, in the ordinary course of business and on an arm’s-length basis.
JS Infra Core is identified in the filing as a subsidiary of Arisinfra Solutions. The proposed approval is described as being for material related-party transactions with the subsidiary. Shareholder approval is being sought through the postal-ballot process rather than being reported as an already completed approval.
The second ordinary resolution concerns a partial modification to an approval previously granted for material related-party transactions with Buildmex-Infra Private Limited, which is also identified as a subsidiary of Arisinfra Solutions. The proposed modification covers the same broad categories of activity: sale or purchase of goods or materials, rendering or availing of services, and borrowing or lending arrangements.
For Buildmex-Infra, the proposed ceiling for sale or purchase of goods or materials and for the rendering or availing of services is ₹50 crore at any given point in time. The outstanding amount for borrowings or lending, including corporate guarantees, would be capped at ₹450 crore.
The notice specifies that the Buildmex-Infra arrangements would also be conducted on mutually agreed terms, in the ordinary course of business and on an arm’s-length basis. The filing records the transaction period for the Buildmex-Infra approval as extending to September 30, 2027. It also records September 30, 2027 as the end date associated with the JS Infra Core arrangement.
The postal-ballot schedule in the exchange filing indicates a start date of October 26, 2026, at 9 a.m., with the process scheduled to run until November 24, 2026. The filing identifies Mumbai in connection with the notice.
Related-party transactions involving subsidiaries are subject to shareholder oversight when they meet the applicable materiality requirements. In this case, Arisinfra Solutions has placed two ordinary resolutions before shareholders: one for the proposed limits involving JS Infra Core and another to partially modify the earlier approval relating to Buildmex-Infra.
Why it matters
The notice puts defined financial limits and operating conditions before Arisinfra Solutions shareholders for transactions with two subsidiaries. The proposed ceilings are ₹500 crore for JS Infra Core and ₹450 crore for Buildmex-Infra on outstanding borrowings, lending and related corporate guarantees, alongside separate ₹50-crore limits for goods, materials and services.
Why it matters
The postal ballot seeks shareholder oversight of material transactions with two subsidiaries and sets separate monetary limits for operating transactions, borrowings, lending and corporate guarantees.
